AisleReady — Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of AisleReady (the "Platform"), including the AisleReady website, mobile-responsive web application, and any related services (collectively, the "Services"). The Services are owned and operated by Rosimo FZE LLC, a company registered in the Ajman Free Zone, United Arab Emirates ("Rosimo FZE LLC", "we", "us", or "our").

By creating an account, accessing, or using the Services, you ("User", "you", or "your") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of another person (for example, as a wedding planner acting for a couple), you represent that you have the authority to bind that person to these Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts under the laws of the United Arab Emirates or your place of residence to create an account or use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration

To access most features, you must create an account using a valid email address or an approved third-party sign-in method. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your login credentials confidential and not share your account with unauthorised persons;
• Notify us promptly at the contact details in Section 17 if you suspect unauthorised access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorised it, except to the extent caused by our breach of these Terms.

4. Description of the Services

AisleReady is a wedding-planning platform that allows couples to manage vendors, budgets, guest lists and RSVPs, task timelines, and a shareable wedding website, and allows invited guests to respond to invitations via a unique link without creating an account. Features available to you depend on your subscription tier as described in Section 6.

We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice, provided that any change does not materially reduce the features you have already paid for during a period you have already paid for, without a pro-rated remedy.

5. Guest Data and Third-Party Data You Submit

As an account holder, you may upload or submit personal data belonging to third parties — for example, names, contact details, dietary requirements, and RSVP responses of your wedding guests. By submitting this data, you represent that:

• You have a lawful basis to share this data with us, including, where required, the consent of the individuals concerned;
• You will only use guest data collected through the Platform for purposes connected to your wedding event; and
• You are responsible, as between you and us, for the accuracy of the data you submit and for responding to any request made by a guest to access, correct, or delete their data.

Rosimo FZE LLC acts as a data processor with respect to guest data you submit, and as a data controller with respect to your own account data, as further described in our Privacy Policy.

6. Subscription Plans, Fees, and Payment

We offer a free tier and one or more paid tiers as described on our pricing page, which may include one-time passes valid until your stated wedding date and/or recurring monthly subscriptions. Prices are displayed in the currency shown at checkout and are inclusive or exclusive of UAE Value Added Tax (VAT) as indicated at checkout.

All payments are processed by our third-party payment processor, Stripe. We do not store your full card details. By making a payment, you also agree to Stripe's applicable terms.

6.1 Recurring subscriptions

Monthly subscriptions renew automatically until cancelled. You may cancel at any time through your account settings or the billing portal; cancellation takes effect at the end of the then-current billing period, and no partial refunds are issued for the remaining period unless required by applicable law.

6.2 One-time passes

One-time passes grant access to paid features until the wedding date you provide at the time of purchase. If you change your wedding date, access is extended to the new date at our discretion, subject to a reasonable administrative limit.

6.3 Refunds

Except where required by UAE consumer protection law or expressly stated otherwise, fees are non-refundable once paid. Where a refund is legally required, it will be processed to the original payment method within a reasonable time.

6.4 Price changes

We may change our prices from time to time. Price changes will not apply retroactively to an active one-time pass or to the then-current billing period of an active subscription.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any UAE federal or local law, including laws relating to cybercrime, data protection, and public morals;
• Upload content that is defamatory, obscene, discriminatory, or infringes the intellectual property or privacy rights of any third party;
• Attempt to gain unauthorised access to the Services, other accounts, or our underlying infrastructure;
• Interfere with or disrupt the integrity or performance of the Services, including through malware, scraping, or excessive automated requests;
• Use the Services to send unsolicited commercial communications to guests or other third parties beyond legitimate wedding-related communications;
• Reverse-engineer, decompile, or attempt to extract the source code of the Services except as permitted by law.

We reserve the right to suspend or terminate accounts that violate this Section, in accordance with Section 12.

8. Intellectual Property

All intellectual property rights in the Services, including the AisleReady name, logo, software, design, and underlying technology, are owned by Rosimo FZE LLC or its licensors. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

You retain ownership of the content you upload (such as photos, guest lists, and wedding website text). By uploading content, you grant us a limited, non-exclusive, worldwide licence to host, store, display, and process that content solely to provide and improve the Services to you, and, where you have made your wedding website public, to display it to visitors of the public link you generate.

9. Third-Party Services and Integrations

The Services rely on and integrate with third-party providers, including but not limited to Supabase (database, authentication, and storage), Stripe (payments), and email-delivery providers. Your use of features that rely on these providers is also subject to their respective terms and privacy policies. We are not responsible for outages, errors, or data handling practices of third-party providers that are outside our reasonable control, though we will use commercially reasonable efforts to select and monitor reputable providers.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted under UAE law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or entirely secure, and we do not guarantee the accuracy of vendor information, pricing estimates, or budget calculations generated by the Platform, which are provided as planning aids only.

11. Limitation of Liability

To the maximum extent permitted by the laws of the United Arab Emirates, Rosimo FZE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of the Services. Our aggregate liability for any claim arising from these Terms or the Services shall not exceed the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or AED 500 if you have not made any payment, whichever is greater.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under UAE law, including liability for fraud or wilful misconduct.

12. Suspension and Termination

You may stop using the Services and delete your account at any time through account settings or by contacting us. We may suspend or terminate your access to the Services, with notice where practicable, if you materially breach these Terms, if required by law, or if we reasonably believe your use poses a security or legal risk to the Platform or other users.

Upon termination, your right to use the Services ceases immediately. We will handle any personal data associated with your account in accordance with our Privacy Policy and applicable data retention obligations.

13. Indemnification

You agree to indemnify and hold harmless Rosimo FZE LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your violation of applicable law, or your infringement of any third-party right, including rights of guests whose data you submit to the Platform.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and, where applicable, the laws and regulations of the Ajman Free Zone, United Arab Emirates, without regard to conflict-of-law principles.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. If a dispute cannot be resolved informally within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts of the United Arab Emirates, or, where the parties separately agree in writing, to arbitration seated in the UAE under rules to be agreed between the parties.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Services, legal requirements, or our business practices. We will post the updated Terms with a revised "Last updated" date and, for material changes, provide reasonable notice through the Platform or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
